1.Who we are
The Akunudo platform (the “Platform”, “Corridor”, “we”, “us”) is operated by Akunudo L.L.C-FZ, a company registered in the United Arab Emirates. The Platform is a business-to-business facilitation service that introduces institutional buyers of pharmaceutical and medical-device products to vetted manufacturers and suppliers across a healthcare sourcing and procurement corridor.
2.What the Platform does — and does not do
We operate as an intermediary and introduction facilitator. We screen supply opportunities against regulatory hard gates (certification, stability zone, dossier format) and present anonymized, scored alignments. We are not a manufacturer, distributor, importer, wholesaler, pharmacy, or licensed regulatory, medical, legal, or financial advisor. We do not take title to, hold, test, or warrant any product. Nothing on the Platform constitutes medical, clinical, regulatory, legal, or investment advice.
3.Eligibility
The Platform is for businesses and their authorised representatives engaged in lawful procurement or supply of healthcare products. By using it, you represent that you are at least 18, are acting on behalf of a business you are authorised to represent, and that your use complies with all laws and regulations applicable to you and your markets.
4.Mandates and introductions
When you submit a sourcing mandate, you authorise us to run it against our manufacturer network and to facilitate introductions to counterparties we consider relevant. Counterparty identities and contact details remain confidential until both parties execute our non-disclosure and introduction framework. We make no guarantee that any mandate will result in a match, an introduction, a transaction, particular pricing, availability, quality, or regulatory acceptance. All commercial terms are negotiated directly between counterparties.
5.Your responsibilities and due diligence
You are solely responsible for conducting your own due diligence on any counterparty, product, certification, and regulatory requirement before transacting, and for obtaining all licences, registrations, and approvals required in your jurisdiction. Information presented on the Platform (including certifications, listings, and verification signals) is provided for convenience, may derive from third-party or public sources, and is not independently warranted by us.
6.Fees
Use of the Platform to submit a mandate is free unless stated otherwise. Where we facilitate an introduction or transaction, fees (such as an engagement fee and/or a success/brokerage fee) apply as agreed for the relevant engagement. Applicable fees, taxes, and payment terms will be set out in the relevant order, checkout, invoice, or engagement agreement. Online payments are processed by a third-party payment provider; we do not receive or store your full card details. Except where required by law or expressly agreed, fees are non-refundable.
7.Confidentiality and anti-circumvention
Counterparty identities, contacts, and commercial terms disclosed through the Platform are confidential and are provided solely to evaluate and execute the specific opportunity introduced. You agree not to bypass, circumvent, or disintermediate the Platform with respect to a counterparty introduced through it, except as permitted under a separately executed agreement. Specific confidentiality and non-circumvention terms are governed by the introduction/NDA framework you execute for a given match.
8.Acceptable use
You agree not to misuse the Platform — including by probing it for competitive inventory intelligence, scraping, reverse-engineering, submitting false or unauthorised mandates, attempting to extract counterparty identities or our sourcing methods, or using it to source products you are not lawfully permitted to handle.
9.Intellectual property
The Platform, its software, content, design, compiled data, scoring methodology, and brand (including “Akunudo”) are owned by Akunudo L.L.C-FZ or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Platform for its intended business purpose. You may not copy, resell, sublicense, scrape, or create derivative works from the Platform or its data.
10.No warranties
The Platform is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, or non-infringement, to the maximum extent permitted by law.
11.Limitation of liability
To the maximum extent permitted by law, Akunudo L.L.C-FZ and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising from your use of the Platform or any introduction or transaction facilitated through it. Our aggregate liability for any claim is limited to the fees you paid to us for the engagement giving rise to the claim.
12.Indemnification
You agree to indemnify and hold harmless Akunudo L.L.C-FZ and its affiliates, officers, and personnel from any claims, losses, liabilities, and reasonable expenses arising out of your use of the Platform, your breach of these Terms, your dealings with a counterparty, or your violation of any law or third-party right.
13.Force majeure
We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, war, civil unrest, epidemic or pandemic, government action, sanctions or export controls, failure of utilities or telecommunications, or third-party service outages.
14.Changes and termination
We may modify the Platform or these Terms at any time; material changes take effect when posted with an updated date. We may suspend or terminate access for any breach of these Terms.
15.General
You may not assign these Terms without our consent; we may assign them to an affiliate or successor. If any provision is held unenforceable, the remainder stays in effect. These Terms, together with any engagement or introduction agreement you execute, are the entire agreement between us on their subject matter. Our failure to enforce a provision is not a waiver of it. Notices to us may be sent to the contact address below.
16.Governing law
These Terms are governed by the laws of the United Arab Emirates, and the parties submit to the competent courts of the United Arab Emirates, without prejudice to any mandatory provisions applicable to you.
